- Accuracy of Information: The Client ensures that all information provided to Rose Spark is accurate and complete.
Payment Terms
- Fees: The Client agrees to pay the fees for the services as agreed upon in the service agreement.
- Payment Schedule: Payment terms and schedules will be outlined in the service agreement. Late payments may incur additional charges.
- Refunds: Refund policies will be governed by the service agreement. Typically, fees for services rendered are non-refundable.
Intellectual Property
- Ownership: The Client retains ownership of all intellectual property rights in any materials provided to Rose Spark. Rose Spark retains ownership of all intellectual property rights in any materials created by Rose Spark.
- License: The Client grants Rose Spark a limited, non-exclusive, royalty-free license to use, reproduce, and modify the Client’s materials for the purpose of providing the services.
Confidentiality
- Confidential Information: Both parties agree to maintain the confidentiality of any proprietary information received from the other party.
- Exceptions: Confidential information does not include information that is publicly known or becomes publicly known through no breach of the confidentiality obligation.
Limitation of Liability
- No Warranty: Rose Spark provides services on an “as is” and “as available” basis without any warranties of any kind, either express or implied.
- Limitation: In no event shall Rose Spark be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.
Indemnification
The Client agrees to indemnify and hold Rose Spark harmless from any claims, losses, damages, liabilities, including legal fees, arising out of the Client’s use of the services, violation of these Terms and Conditions, or infringement of any third-party rights.
Termination
- Termination by Either Party: Either party may terminate the service agreement at any time with written notice.
- Effect of Termination: Upon termination, the Client will pay for all services rendered up to the termination date.
Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of India, and any disputes relating to these Terms and Conditions will be subject to the exclusive jurisdiction of the courts of Kolkata.
Changes to Terms and Conditions
Rose Spark reserves the right to modify these Terms and Conditions at any time. Changes will be effective immediately upon posting to the Site. Your continued use of the Site or services after any changes signifies your acceptance of the new Terms and Conditions.
